AUDIT AND REMUNERATION COMMITTEES

The Directors have established an audit committee and a remuneration committee. The remuneration committee, consisting of Philip Stephens as chairman and the other Non-executive Directors, will review the scale and structure of the Executive Directors' remuneration, including the grant of options under the Share Option Schemes and the terms of their employment.

The audit committee, consisting of Philip Stephens as chairman and the other Non-executive Directors, has primary responsibility for monitoring the quality of internal control and ensuring that the financial performance of the Company is properly measured and reported on and for reviewing reports from the Company's auditors relating to the Company's accounting and internal controls, in all cases having due regard to the interests of Shareholders.
